SOLOUD LLC, SLG, SoLoud Seeds, and their owners, officers, employees, representatives, contractors, affiliates, breeders, suppliers, and service providers are not responsible for any unlawful, unauthorized, negligent, improper, unintended, or prohibited purchase, possession, importation, receipt, germination, cultivation, distribution, transfer, resale, or use of any product.

We reserve the right to refuse, restrict, hold, or cancel orders to any person, address, location, or jurisdiction where we believe a transaction may be unlawful, restricted, unusually risky, or commercially impractical.

4. Product Information and Natural Variation

We make reasonable efforts to provide accurate product names, descriptions, lineage information, photographs, packaging details, seed quantities, availability, pricing, flowering estimates, yield information, potency categories, flavor profiles, and other product details.

However, typographical errors, breeder updates, packaging changes, listing errors, photographic differences, inventory discrepancies, and minor variations may occur.

Seeds, plants, and living genetics naturally vary. Photographs, graphics, cultivation descriptions, terpene profiles, potency categories, flowering estimates, yield estimates, plant structures, coloration, aromas, flavors, and other characteristics are illustrative and are not guarantees that every seed or plant will produce identical results.

Individual expression may vary based on phenotype, genotype, storage, age, environment, climate, lighting, nutrients, water quality, growing medium, container size, plant training, stress, contamination, pests, pathogens, harvesting, drying, curing, and other factors outside our control.

References to potential characteristics, awards, parent cultivars, breeder selections, clone-only varieties, or expected outcomes do not constitute a promise that every seed, plant, or harvest will display the same characteristics.

5. SoLoud Genetics and Third-Party Breeder Products

We may offer products produced by SoLoud Genetics as well as products obtained from independent breeders, seed companies, brands, distributors, or suppliers.

Third-party breeder products are represented as accurately as reasonably possible based on information and packaging supplied by the original breeder or source.

Third-party breeders may change packaging, seed counts, product names, policies, descriptions, availability, or other details without notice.

Claims involving products made by an independent breeder may be referred to or evaluated with the original breeder. At our discretion, we may contact the breeder, direct you to work with the breeder, provide comparable SoLoud Genetics branded products, offer store credit where permitted, or provide another remedy we consider appropriate.

Replacement, refund, or warranty coverage for products made by independent breeders is not guaranteed unless specifically stated in writing.

6. Orders and Order Acceptance

Submission of an order, invoice payment, or payment authorization does not guarantee acceptance or fulfillment.

An order is accepted only after payment has been successfully processed, any requested verification has been completed, inventory has been confirmed, and we have accepted or fulfilled the transaction.

We reserve the right to accept, reject, limit, hold, modify, or cancel an order for reasons including:

• Suspected fraud, unauthorized payment, identity concerns, or account misuse.
• Billing, shipping, cardholder, recipient, or contact information that cannot be verified.
• Payment processor, bank, fraud-filter, or address-verification concerns.
• Pricing, product, inventory, discount, listing, or technical errors.
• Product unavailability or inventory discrepancies.
• Purchase limits, reseller activity, promotional misuse, or repeated claim abuse.
• Legal, regulatory, carrier, customs, security, or destination concerns.
• Abusive, threatening, deceptive, harassing, or unlawful conduct.

If we cancel an unfulfilled order after payment has been collected, we will generally return the applicable amount to the original payment method unless the payment is subject to a pending dispute, reversal, chargeback, investigation, processor hold, legal restriction, or unpaid balance.

7. Customer Information and Address Accuracy

You are responsible for providing complete, current, accurate, and authorized billing, shipping, payment, contact, and recipient information.

You must promptly notify us of any error or requested change. We cannot guarantee that an address, order, product, or cancellation request can be changed after an order has entered processing, been packed, had a shipping label created, or been transferred to a carrier.

We are not responsible for delays, losses, returned shipments, failed delivery, carrier charges, reshipping costs, customs problems, or other consequences caused by an incorrect, incomplete, outdated, unauthorized, inaccessible, or undeliverable address supplied by the customer.

If a package is returned because of an address issue, refusal, unclaimed shipment, failed delivery attempt, unpaid customs fee, or other customer-controlled circumstance, any reshipment is subject to review and may require payment of additional shipping or handling costs.

8. Pricing, Promotions, Discounts, and Availability

Product prices, seed counts, shipping charges, availability, promotions, free items, purchase requirements, and discount terms may change at any time without prior notice.

Promotions and discount codes cannot be combined unless expressly stated. Certain products, brands, boxes, bulk items, limited releases, services, shipping charges, or payment methods may be excluded.

Promotional products and freebies have no cash value and are subject to availability. We may substitute a promotional product with another product of our choosing.

Promotional products may be removed, canceled, or excluded if an order is modified, partially refunded, canceled, disputed, returned, or no longer meets the stated promotion requirements.

We reserve the right to correct product, pricing, discount, inventory, shipping, or listing errors and to cancel or modify affected orders. If a material error affects an accepted order, we may contact you with available options.

9. Payments and Payment Authorization

You represent and warrant that you are authorized to use the payment method submitted and that all payment and billing information is accurate.

Payments may be processed by independent third-party payment processors. Through ordinary online checkout, SOLOUD LLC does not receive or store your complete payment-card number.

You must not send complete payment-card numbers, security codes, passwords, banking credentials, or other sensitive payment information by email, text message, social media, or ordinary messaging.

You are responsible for taxes, duties, brokerage charges, customs assessments, bank charges, currency-conversion fees, foreign-transaction fees, payment-processing charges, and other third-party fees unless expressly stated otherwise.

10. Fraud Prevention, Identity Verification, and Order Review

To protect customers, cardholders, payment providers, and our business, transactions may be screened using automated and manual fraud-prevention tools.

We may request reasonable documentation or confirmation to verify identity, age, payment authorization, cardholder consent, billing information, shipping information, recipient information, or the relationship between the purchaser, cardholder, and recipient.

Verification may include identification, confirmation from the cardholder, a screenshot showing the applicable transaction on the payment account, proof of address, confirmation of transaction details, or other information reasonably related to the purchase.

Customers may conceal unrelated identification numbers or information not reasonably needed for verification, provided the name, photograph, and information necessary to evaluate the transaction remain visible.

Failure or refusal to complete requested verification may result in delayed fulfillment, cancellation, restricted payment options, order limits, account restrictions, or refusal of future transactions.

Verification of an order does not guarantee that a transaction is lawful, risk-free, immune from dispute, or eligible for any particular remedy.

11. Shipping and Processing

Processing and delivery estimates are estimates only and are not guaranteed.

Delays may occur because of order volume, product launches, holidays, verification, inventory, weather, carrier operations, security screening, customs, governmental action, address issues, service interruptions, or other circumstances outside our reasonable control.

Tracking information may take time to update and may not display every carrier movement, scan, transfer, customs event, or processing stage.

A period without tracking updates does not necessarily mean that a shipment is lost.

Customers are responsible for monitoring tracking, providing a secure delivery location, and promptly reporting delivery concerns.

Our Shipping Policy is incorporated into these Terms by reference. If there is a conflict concerning a shipping-specific issue, the more specific Shipping Policy will control to the extent permitted by law.

12. International Orders and Customs

International customers are solely responsible for confirming that products may be lawfully ordered, exported, imported, received, possessed, stored, transferred, germinated, cultivated, or used in the destination jurisdiction.

International shipments may be inspected, delayed, held, assessed fees, returned, refused, confiscated, seized, destroyed, or otherwise affected by customs authorities, postal services, carriers, government agencies, or local laws.

Customs processing and international delivery timelines are outside our control. We do not guarantee customs clearance, uninterrupted tracking, or delivery by any particular date.

The customer is responsible for import duties, taxes, brokerage charges, customs fees, permits, documentation, regulatory requirements, and destination restrictions.

Refunds are not guaranteed for packages delayed, held, refused, returned, confiscated, destroyed, or otherwise affected by customs or destination authorities.

If an international shipment is confirmed lost or permanently fails to clear customs, we may, at our sole discretion and after review, offer replacement with eligible SoLoud Genetics branded products.

Replacement or refund of products made by independent breeders is not guaranteed.

13. Delivery, Damage, and Missing-Item Claims

Claims involving missing, incomplete, damaged, misdelivered, stolen, or otherwise affected shipments must be reported promptly after delivery or the expected delivery event.

We may request photographs of the shipping package, shipping label, internal packaging, damaged products, delivery location, mailbox, carrier notice, tracking history, or other documentation reasonably necessary to evaluate the claim.

You agree to preserve the shipping package, label, packaging materials, affected products, and related evidence until the claim has been reviewed.

Depending on the circumstances, we may require a carrier claim, theft report, police report, customs inquiry, written declaration, or other supporting documentation.

A carrier scan showing delivery, pickup, acceptance, forwarding, return, customs processing, or other shipment activity may be considered when evaluating the claim.

Remedies for delivery claims are determined on a case-by-case basis and may include carrier investigation, replacement, store credit, reshipment, or another remedy we consider appropriate.

14. Final Sales, Returns, and Exchanges

Except where required by applicable law or expressly approved by us in writing, all sales are final after shipment.

We do not accept routine returns or exchanges of seeds, opened packages, handled products, stored products, or products that have left our control.

Incorrect items or products damaged before or during shipment must be reported within seven days of delivery, together with clear photographs and any other information reasonably requested.

Do not send products or packages to our mailing address without prior written authorization.

Unauthorized returns may be refused, discarded, held, or returned to the sender and may not qualify for replacement, reimbursement, credit, or refund.

Shipping charges, customs fees, processing fees, payment fees, and other third-party costs are generally nonrefundable unless required by law or expressly approved by us.

Our Refund and Return Policy is incorporated into these Terms by reference.

15. Germination Guarantee

SoLoud Seeds offers a 90% Germination Guarantee on eligible seeds purchased directly from us when our recommended germination technique and claim requirements are followed.

The Germination Guarantee is a limited replacement or remedial program. It is not a money-back guarantee, and germination-related refunds are not provided except where required by applicable law.

Germination issues must be reported within four months of delivery.

Before germination is attempted, seeds must be stored in a cool, dark, dry, and reasonably stable environment.

To evaluate a germination claim, customers must provide:

• Proof of purchase or the applicable order number.
• Clear photographs of the seeds and attempted germination process.
• A description of the germination method used.
• Relevant temperature, soak time, moisture level, growing medium, and timeline information.
• Information regarding storage conditions before germination.
• Any additional photos or information reasonably requested during review.

Improper storage, excessive heat, freezing, excessive moisture, drying, contamination, physical damage, chemical exposure, unsuitable temperatures, unsuitable water, extended soaking, improper planting depth, handling damage, or departure from our recommended method may affect eligibility.

Claims without sufficient documentation may be denied.

For an eligible claim, we may, at our sole discretion:

• Replace affected seeds with comparable SoLoud Genetics branded products.
• Contact the original breeder regarding the claim.
• Direct the customer to work with the original breeder when appropriate.
• Offer another product-based remedy.
• Provide another remedy that we determine to be appropriate under the circumstances.

Approval of one claim does not obligate us to approve another claim involving different products, orders, methods, storage conditions, or circumstances.

Any replacement is limited to the approved product remedy and does not include compensation for equipment, labor, nutrients, electricity, growing media, rent, water, lost time, projected harvests, lost yield, lost profits, business losses, or other consequential costs.

16. Cultivation Results, Plant Health, and Environmental Conditions

Germination, cultivation, plant health, sex expression, intersex expression, phenotype, growth rate, flowering time, yield, potency, aroma, flavor, structure, coloration, and harvest quality depend on numerous biological and environmental factors.

Environmental stress, light leaks, temperature changes, nutrient imbalance, overfeeding, underfeeding, root stress, transplant stress, pests, pathogens, spraying, chemical exposure, mechanical damage, pruning, training, irrigation practices, and other conditions may affect plant expression or performance.

We do not guarantee plant survival, uniformity, sex expression, phenotype, harvest weight, commercial value, crop profitability, or any specific cultivation result.

Claims involving plant performance, phenotype, intersex traits, cultivation outcomes, or environmental damage are reviewed individually and are not automatically covered by the Germination Guarantee.

17. Grow Assistance and Informational Content

We may provide complimentary cultivation assistance, germination guidance, product recommendations, troubleshooting suggestions, articles, emails, messages, consultations, or other educational content.

Information is provided for general educational purposes and does not constitute legal, medical, scientific, laboratory, engineering, agricultural, financial, or professional advice.

Guidance does not guarantee germination, plant health, legality, phenotype, yield, potency, safety, profitability, or any particular outcome.

Customers remain responsible for evaluating all information, choosing appropriate methods, maintaining proper conditions, complying with applicable law, and making their own purchasing and cultivation decisions.

18. Customer Cooperation and Payment Disputes

Customers agree to contact us and provide a reasonable opportunity to investigate and attempt to resolve an order, payment, shipping, customs, product, or germination concern before initiating a chargeback, payment dispute, bank claim, or processor complaint, when reasonably possible.

Nothing in these Terms eliminates any right that cannot lawfully be waived.

However, a knowingly false, misleading, duplicate, abusive, or unauthorized payment dispute is a violation of these Terms.

Examples include falsely claiming that:

• An authorized purchase was not authorized.
• A delivered or available package was not received.
• A refund, replacement, or guarantee was promised when it was not.
• A shipment was not sent when tracking or carrier records show otherwise.
• Products materially differed from the order when records show the correct products were supplied.
• The customer attempted to resolve the concern when requested information was not provided.

In connection with a dispute, investigation, insurance claim, or legal matter, we may provide payment records, invoice information, checkout details, order records, policy acceptance records, customer communications, identity-verification records, shipment records, tracking information, delivery confirmation, photographs, claim documentation, device or fraud-screening data, and other relevant evidence to payment processors, card networks, banks, financial institutions, carriers, insurers, investigators, attorneys, courts, or government authorities.

Orders associated with unresolved payment disputes, unpaid balances, suspected fraud, false claims, or repeated policy abuse may be canceled, restricted, refused, or subject to additional verification.

Third-party breeder names, trademarks, product images, packaging, and other intellectual property remain the property of their respective owners.

No purchase grants ownership of any trademark, copyright, branding, website content, packaging design, photograph, or other intellectual-property right.

When you voluntarily submit a review, photograph, video, testimonial, cultivation result, comment, suggestion, message, or other content, you represent that you have the right to submit it and that it does not violate any law or another person’s rights.

Unless otherwise agreed in writing, you grant SOLOUD LLC a nonexclusive, worldwide, royalty-free license to use, reproduce, edit, crop, publish, display, archive, and distribute submitted content for customer service, documentation, educational, promotional, evidentiary, and business purposes.

We are not obligated to publish, use, respond to, or retain customer-submitted content and may remove or decline to publish content at our discretion.

We are not liable for loss or damage caused by improper storage, handling, germination, cultivation, environmental conditions, contamination, pests, pathogens, unlawful use, unauthorized resale, carrier action, customs action, governmental action, or other circumstances outside our reasonable control.

To the fullest extent permitted by applicable law, our total liability arising from a product, order, transaction, communication, claim, or related event will not exceed the amount actually paid to SOLOUD LLC for the specific product or order giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
